Officers

Ian Snow Chief Executive Officer & Director

Ian Snow has served as our Chief Executive Officer and a member of our board of directors since inception. Mr. Snow is Chief Executive Officer and a co-founding partner of Snow Phipps Group, LLC (“Snow Phipps”), a private equity firm. Prior to the formation of Snow Phipps in April 2005, Mr. Snow was a managing director at Ripplewood Holdings L.L.C., a private equity firm, where he worked from its inception in 1995 until March 2005. From 1996 until 2007, Mr. Snow served as a member of the board of directors of Asbury Automotive Group, Inc. (and, from 2006 until 2007, a member of its audit committee). Mr. Snow currently sits on the board of directors of Laureate Education, Inc., Blackhawk Industrial Distribution, Inc. and ECRM, LLC, positions he has held since July 2021, September 2018 and June 2016, respectively. Mr. Snow received a Bachelor of Arts degree from Georgetown University.

William Chai Chief Financial Officer

William Chai has served as our Chief Financial Officer since April 2026. Mr. Chai is currently a partner at Outlier Global Management, where he has been employed since 2024. He was previously a private equity associate at The Carlyle Group from 2020 through 2023 and was an investment banking analyst at Credit Suisse from 2018 through 2020. Mr. Chai received his Bachelor of Science from The Wharton School of the University of Pennsylvania.

Lord Nathaniel Rothschild Chairman of the Board

Lord Nathaniel Rothschild has served as Chairman of our board of directors since inception. Since November 2025, Lord Rothschild has served as the Chief Executive Officer of Volex plc, a leading provider of high quality power and data interconnect solutions, and was previously the Executive Chairman of Volex from December 2015 through November 2025. Lord Rothschild previously served as co-chairman of Atticus Capital LLC, an alternative asset manager, from 1995 to August 2009. From April 2010 to January 2013, Lord Rothschild served as a director at Barrick Gold Corporation, one of the world’s largest gold mining companies. From 1993 to 2004, Lord Rothschild served as chairman of the board of directors of Vivarte SA, a pan-European retailer and owner of the Kookai clothing brand. Lord Rothschild was educated at Eton College and Wadham College, Oxford, where he studied Modern History, graduating with a 2:1 and later received an MSc. (Distinction) in Addiction Studies from King’s College London.

Marco Carrai Independent Director

Marco Carrai will serve as an independent member of our board of directors upon the commencement of trading of our units on Nasdaq. Mr. Carrai serves as Executive Chairman and Managing Director of JSW Steel Italy SRL and Executive Chairman of GSI Lucchini S.p.A. and Piombino Logistics S.p.A., positions he has held since November 2024. He has also served as Chairman of Toscana Aeroporti S.p.A. since July 2015, as a board member of Corporacion America Italia S.p.A since June 2025 and as an advisor to Azzura Capital since February 2023. Mr. Carrai previously served as chairman at CYS4 (a cyber security company he founded) from 2014 until May 2024 and later served as a consultant until he sold the company in 2025. In addition, he was a consultant to the MIT Design Lab from 2010 to 2011. Mr. Carrai attended the University of Florence.

Paul Chellgren Independent Director

Paul Chellgren will serve as an independent member of our board of directors upon the commencement of trading of our units on Nasdaq. Mr. Chellgren is the former Chairman and Chief Executive Officer of Ashland Inc., where he also previously served as Chief Financial Officer. He served as Chief Executive Officer of Ashland from 1996 to 2002, Chairman of the Board from 1997 to 2002 and as a director from 1992 to 2002. From 2005 to 2021, Mr. Chellgren served as an operating partner of Snow Phipps, LLC, a New York-based private equity firm. In addition, he also previously served as a director of The PNC Financial Services Group, Inc. from October 1995 to April 2016. Mr. Chellgren holds a Bachelor of Science in Accounting from the University of Kentucky, a Master of Business Administration from Harvard Business School and a doctorate in Development Economics from Oxford University.

George Muñoz Independent Director

George Muñoz will serve as an independent member of our board of directors upon the commencement of trading of our units on Nasdaq. Mr. Muñoz has served as a partner at the law firm of Tobin & Muñoz, LLC and as a principal at Muñoz Investment Banking Group LLC, an investment banking firm, since 2001. Prior to his current roles, Mr. Muñoz served as President and Chief Executive Officer of the Overseas Private Investment Corporation, from 1997 to 2001. Prior to that, he served as Chief Financial Officer and Assistant Secretary of the U.S. Department of the Treasury from 1993 to 1997. Mr. Muñoz currently serves as a director of Altria Group, Inc., a position he has held since 2004, and Laureate Education, Inc., a position he has held since 2013. He previously served as a director of BRC Inc. from July 2020 to April 2024 and Marriott International, Inc. from 2002 to May 2023. Mr. Muñoz received a Juris Doctor from Harvard Law School, a Master of Law in Taxation from DePaul University, a Master of Public Policy from the John F. Kennedy School of Government at Harvard University, a Master of Arts in Theology from Catholic Distance University and a Bachelor of Arts in Accounting from the University of Texas at Austin. Mr. Muñoz is a certified public accountant licensed in Texas, an attorney admitted in Washington D. C., Texas, Illinois and Virginia, a certified financial planner and is accredited in business valuation and certified in financial forensics by the American Institute of Certified Public Accountants.

Corporate Governance

Our board operates with a focus on independence, transparency, and shareholder accountability. Upon listing, the board will maintain two standing committees composed entirely of independent directors.
